END USER LICENSE AGREEMENT and PRIVACY POLICY Elbsound.studio AVP UG (haftungsbeschränkt) & Co. KG, Orchideenstieg 13, 22297 Hamburg, Germany 23. September 2020 I. GENERAL This End User License Agreement ("EULA") defines the contractual terms and condition between the purchaser of the software ("Licensee", "Customer", "Consumer", "User", "You") and Elbsound.studio AVP UG (haftungsbeschränkt) & Co. KG and its agents and online shops ("Elbsound.studio") for the use of Elbsound software including, without limitation, any documentation, data, images, documents and media. II. ACCEPTANCE OF TERMS AND CONDITIONS By ordering an Elbsound.studio software product, the consumer declares himself in agreement with these conditions. If the consumer does not agree with these conditions, he must not purchase software products from Elbsound.studio. The consumer also declares that he is legally competent (at least age of 18) or purchases the software in consent with his legal representative, and acknowledges that this software is not intended for adolescents under 13 years. III. REGISTRATION/ACTIVATION 1.) If the software requires an activation key, the user must register the software in order to receive the key. The activation key enables him to use the software product on his computer. The registration and activation is done within Elbsound.studio's installer software. The installer and uninstaller requires internet access and a valid email address if the software needs an activation key. The installer and uninstaller also requires internet access for downloading updates or other optional components. During the installation process the user needs to provide his name, email address and the serial number that is included in the software download. The installation software also creates an encoded computer ID based on some system components of the computer which is transmitted along with the other registration data via a secure SSL connection. The activation key is created from this data. The name, email address, serial number, version number, an anonymized IP address, the OS type (MacOS/Windows), the time of de-/activation and the anonymous computer ID of the current activation and the last activation are automatically stored in Elbsound.studio's database. To better solve cases of computer crashes, forgotten deactivations and manually deleted installations, the anonymous computer ID of the previous installation is also stored. An activation key only works on the computer with the transmitted computer ID. After a validity check the activation code is sent to the user to his email address. After the activation code has been entered, the activation status and the number of activations are also transmitted and stored in the Elbsound.studio database. It is not allowed to use Elbsound.studio's software without activation. From time to time the plug-in checks if it was activated correctly, so it's not possible (and not allowed) to just copy it to another computer (also see 2.). It is required to have internet access during the installation process. More on information on Elbsound.studio's data privacy policy is available at: https://elbsound.studio/imprint.php 2.) Re-installation or installation on a new computer If not noted otherwise, the software is only licensed for installation and/or activation on one computer. If the user wishes to transfer the software to a new computer and the software is only licensed for activation on one computer, the user must first uninstall the software on the first computer. During the uninstallation process a code is transmitted to the Elbsound.studio database which leads to the deactivation of the software. It is required to have internet access during the uninstallation process. After the deactivation it is possible to install and activate the software again on the same or on a new computer. If there is a hard disk crash before the software was uninstalled and deactivated, the user needs to contact Elbsound.studio support and ask for a reset of the activation. Elbsound.studio has the right to ask the user for a proof of the crash or for a proof of license legitimation before resetting the activation (e.g. invoice of the plug-in purchase), if it is likely that this was a misuse of the license instead. If the user can't prove his legitimation, Elbsound.studio has the right to deny the activation reset. Elbsound.studio may charge a fee of up to 15€ for a reset, if a user requests more than two license activation resets per year. If the software is licensed for activation on multiple computers, some restrictions in activation may apply. If not noted otherwise, it is required to install and activate the license within the same network, use the same licensee name and the same license key on all installations. 3.) If, for whatever reasons, Elbsound.studio should not be able to deliver the custom activation key, it will provide the user with an installer and an activation key which allows installation on any computer. IV. USER'S OBLIGATIONS During the Warranty Period the user will work together with Elbsound.studio and provide any necessary assistance to allow Elbsound.studio to perform its obligations under this EULA and to improve the software. The user has to a.) promptly notify Elbsound.studio of any errors, b.) provide sufficient information (including Finale music documents, user documents, screenshots, etc.) to facilitate the effective diagnosis of defects and to accelerate the fixing of bugs. Plugin errors can usually only be reproduced and fixed by providing the user document where the defect occured. c.) permit Elbsound.studio to examine the provided data to remedy any defect, d.) start automatic document save and backup functions before using Elbsound.studio software, if available (e.g. Finale's automatic Auto- Save&Backup feature) in order to reduce risk of data loss. e.) reduce risk of loss of data by saving user documents and user data (e.g. Finale files, user-made or third party font annotation files for Finale) each time right before using Elbsound.studio plugins. Corrupt documents, bugs in third party interfaces or unknown defects in Elbsound.studio software might cause crashes of the plugin or the host software and lead to loss of data. f.) make a data backup immediately after crashes in order to reduce the risk of data loss. g.) make sure that all software and data (1) is always available for reinstallation/restoring, (2) had been stored properly and in a risk-adequate manner before. h.) use the purchased software according to its manuals, test documents, images, etc. and according to Elbsound.studio's instructions by email, chat, fax or phone. i.) check regularly (at least once in 3 months) if a new free Elbsound.studio software update is available and install the update to reduce the risk of defects. j.) proofread user documents after processing them with Elbsound.studio Finale plugins before sending them to print in order to reduce risk of damages. k.) in case of problems with the processed documents, contact Elbsound.studio support (and not MakeMusic/Finale or other third party support). l.) in case of student discount editions, make sure that he doesn't use the Finale document in a forbidden way after applying the Elbsound.studio products. Any commercial use (selling, renting out, getting royalties from the printed score) is not allowed and an infringement of this EULA. The scores processed with Perfect Layout Student Edition may only be distributed for free. V. LIMITED WARRANTY AND LIABILITY 1.) The liability of Elbsound.studio is governed by the provisions of the law except where otherwise provided for in these conditions. In the event of a defect, Elbsound.studio is entitled in accordance with the provisions of the law to first remedy the defect or to make substitute delivery with a defect-free software. The consumer is obliged to take over a new software version if the contractually agreed functions are preserved and there are no major disadvantages for the consumer. 2.) Before the software sold by Elbsound.studio and new releases are used, the installation instructions in the manual for use or on the online help pages must be observed and a data backup must be performed first, if possible, to avoid loss of data. 3.) The right to cancel the agreement or to demand damages is excluded in the case of an insignificant defect unless the damage is caused in the event of injury, death or illness by negligent breach of duty by Elbsound.studio or by intentional or negligent breach of duty by its legal representatives or by persons employed by Elbsound.studio. The right to demand a price reduction remains unaffected. Insignificant defects are minor defects which have no decisive effect on the use of the software. Such defects are remedied in one of the next releases in the course of the normal further development of the software. 4.) The consumer bears the burden of proof that Elbsound.studio is responsible for the defect, if the defect was caused by the improper use or installation, a corrupt user document, a defect in the third party interface (e.g. the Finale PDK or the JW Lua SDK) or by processing, operation and maintenance of the product other than in accordance with Elbound.studio's instructions. 5.) Elbsound.studio is not liable for crashes of plugin or plugin host software (e.g. Finale, JW Lua). Elbsound.studio is not liable for loss of data or other damages that would have been prevented if the customer had acted according to this EULA and especially to his user obligations (see VI.). In other cases the liability for data loss is limited to the typical cost and effort for restoring data which would have occured if the data had been stored properly and in a risk-adequate manner. Elbsound.studio is not liable for damages resulting of the use of older Elbsound.studio software versions, if the user had been informed that a new free update is available or if the update has been available for at least 3 months or if the user didn't give his permission to be informed about updates or if the user was informed about the defect. 6.) Elbsound.studio is not liable for the availability of the host software Finale and JW Lua and/or for the conditions or costs under which these are available. The user is responsible for acquiring a valid Finale and JW Lua license. 7.) There is no warranty for free trial version software, for software that is (also) available for free public download from Elbsound.studio, for third party software used for the Elbsound.studio software (e.g. Finale or JW Lua) and for beta functions or beta software where the user has been explicitly advised that single features or the full software has not been tested to its full extent and that he may only use at his own risk. 8.) In countries outside the EU in which the limitation of liability is admissible, the total liability of Elbsound.studio and its distributors is limited by the sum which the customer had paid for the software, if any. 9.) Individual end-user support by phone, chat, fax or email is not part of the contract with the customer unless the product purchase explicitly includes user support. By giving voluntary support to the user, the user can't derive Elbsound.studio's obligation to give support in other cases. 10.) The products of, the communication with and the website of Elbsound.studio is in English only. Offering support or communication to non-speaking English users in other languages is on a voluntary basis and doesn't entitle the user to derive the right to demand communication, documents or user interfaces in other languages than English. VI. TRADEMARKS AND THIRD PARTY RIGHTS Some components included in the purchased Elbsound.studio product, as well as any associated intellectual property rights, trademarks and titles, belong to third parties. This content may be protected by copyright or other intellectual property laws and treaties, and may be subject to terms and conditions from the third party providing the content. Any sublicense, distribution or other use of these third party components or rights, except in conjunction with the purchased product, is a violation of this EULA. VII. DUTIES TO PROTECT The products from Elbsound.studio are protected by law. The trademarks, reserved font names and intellectual property rights remain with Elbsound.studio. It is not allowed to a) copy, decompile or reverse-engineer the software b) lease, license, rent or sell the right to use the software c) remove or alter any copyright notices, serial numbers and other identification features of the software. Selling the purchased software is only allowed if the whole software bundle is sold as it was purchased, and if the new customer accepts this EULA. The consumer has to make sure, that the new customer reads and agrees to the EULA. Selling only parts of the software and/or its media, documentation, etc. is not allowed. The consumer must ensure by appropriate and reasonable steps that third parties, including its own employees, cannot make unauthorized use of the licensed product. The consumer shall be liable to Elbsound.studio for any loss or damage in this context. Elbsound is a registered trademark of Elbsound.studio AVP UG (haftungsbeschränkt) & Co. KG. VIII. GENERAL PROVISIONS 1.) If a provision of this agreement is or becomes illegal, invalid or unenforceable in any jurisdiction, that shall not affect the validity or enforceability in that jurisdiction of any other provision of this agreement, or the validity or enforceability in other jurisdictions of that or any other provision of this agreement. The provision shall be enforced to the maximum extent permissible so as to affect the intent of the parties as reflected by that provision. 2.) This EULA shall be governed by the laws of the Federal Republic of Germany excluding (a) its conflicts or choice of law rules, and (b) the United Nations Convention on Contracts for the International Sale of Goods. The courts for Elbsound.studio's registered office shall have exclusive jurisdiction over all disputes under and in connection with this EULA. 3.) If the consumer is a merchant within the meaning of the Commercial Code, the exclusive – also international - place of jurisdiction for all disputes and place of performance is Hamburg, Germany. However, Elbsound.studio is also entitled to pursue legal action against the comsumer at any other admissible court of law.
